How to Start an LLC in North Carolina
North Carolina flips the usual cost structure: a middling $125 to form, then the country's steepest routine report at $200 every April. The offset is a real one, LLCs are flat-out exempt from the state franchise tax that hits corporations, so the all-in math still lands reasonable. Watch the April 15 date and ignore the official-looking third-party mailers.

Franchise tax: LLCs exempt
North Carolina's franchise tax reaches corporations only; an LLC owes it solely if it elects corporate taxation. The trade for that exemption is the $200 annual report.

- Series LLCs: No. Chapter 57D contains no series provisions.
- Licensed professionals: PLLCs are available under G.S. 57D-2-02, borrowing the professional corporation rules including licensing board certification; the name carries PLLC or Professional.

- Agent procedure: Watch for third-party mailers: SOSNC itself warns about priority annual report fee scams that impersonate official notices.

Why is the North Carolina annual report $200?
It is simply how the state prices LLC maintenance, and it is statutory (G.S. 57D-1-22). The partial consolation: North Carolina LLCs are exempt from the franchise tax that corporations pay, so the $200 is the whole recurring state bill for most LLCs.
How long does an NC LLC take to form?
Posted processing was 15 to 20 business days for entity creation as of mid-2026, among the slower states. Statutory expedites fix that: $100 for 24-hour handling or $200 for same-day if received by noon.
Does North Carolina allow series LLCs?
No. Chapter 57D has no series provisions, so a domestic series LLC cannot be formed in North Carolina.
Are the annual report notices I get in the mail official?
Often not. The Secretary of State specifically warns about third-party companies sending official-looking priority annual report solicitations at inflated prices. File directly at sosnc.gov for $200 ($203 with a card online).
